Work Product

Deliverables specifically created for a client become the property of the client upon full payment. General methodologies, tools, and know-how developed or used by InnovationSGP remain our intellectual property.

Third-Party IP

We respect third-party intellectual property rights and expect clients to do the same. Clients warrant that any materials provided do not infringe on third-party rights.

7. Confidentiality

We maintain strict confidentiality regarding all client information and business matters. This confidentiality obligation survives the termination of any service agreement. Clients are expected to maintain similar confidentiality regarding our proprietary methods and business information.

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for any claim shall not exceed the fees paid for the specific engagement
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for client decisions based on our recommendations
• Clients acknowledge that business strategy involves inherent risks and uncertainties

9. Professional Standards

Our services are provided in accordance with generally accepted consulting practices. We make no guarantee of specific business outcomes, as results depend on numerous factors beyond our control, including market conditions, execution, and client-specific circumstances.

10. Termination

Termination Rights

Either party may terminate a service agreement with written notice as specified in the individual agreement. Termination does not relieve either party of obligations incurred prior to termination.

Effect of Termination

Upon termination, all confidentiality obligations continue, outstanding fees become due, and each party must return or destroy confidential information as requested.
